Terms of Sale and Use

Article 1 — Purpose

These Terms of Sale and Use (the "Terms") govern all contractual relations between Mathieu Léger, Sole Trader, operating the website audiomatt.studio, hereinafter "the Provider," and any individual or entity wishing to place an order, hereinafter "the Client."

Any order placed on the website constitutes unreserved acceptance of these Terms.

Article 2 — Description of the Service

The Provider offers a custom music production service consisting of creating personalized mashups (creative combinations of two or more existing musical tracks), based on the songs, instructions, and preferences provided by the Client.

The service includes:

A discussion and quote phase

The creation of a low-quality preview version

Up to two (2) rounds of revisions on this preview version

Delivery of the final (high-quality) version after Client approval

The service does not include:

Acquisition of commercial exploitation rights to the original works used

Transfer of rights allowing distribution on streaming platforms (Spotify, Apple Music, etc.)

Article 3 — Quotes and Orders

Any mashup request is subject to a personalized quote provided to the Client within an indicative period of 24 hours following receipt of the necessary information (song links, desired duration, additional instructions). This quote does not commit the Client to any payment.

An order is only considered final upon receipt of payment corresponding to the quote accepted by the Client.

Article 4 — Pricing and Payment

Prices are communicated in the quote and may vary depending on the number of songs, the type of mashup requested, and the desired timeline (with an expedited 24-hour delivery option available for an additional fee).

Payment is made online via the secure Stripe platform. The Provider does not collect or retain any of the Client's banking data.

Article 5 — Delivery Timelines

The standard turnaround time is 3 business days from order validation and payment. This timeline may be extended for larger projects, and the Client will be informed in advance. An expedited 24-hour delivery option is available for an additional fee.

Article 6 — Validation Process and Revisions

A low-quality preview version is sent to the Client before any finalization. The Client is entitled to two (2) rounds of revisions on this preview version, included in the initial price. Additional rounds of revisions may be offered for an additional fee.

The final version, in high quality and unrestricted, is delivered automatically once the order has been paid and the preview version has been approved by the Client.

Article 7 — Refund Policy

Given the personalized and intangible nature of the service, no refunds are possible once production has begun. In the event of continued dissatisfaction after the included revisions, the Provider may, at its discretion, offer a discount on a future order as a gesture of goodwill.

Article 8 — Intellectual Property and Usage Rights

8.1 — Original works. The musical tracks used in creating a mashup remain the property of their respective rights holders (authors, composers, performers, record labels). The Provider transfers no rights to these original works.

8.2 — Use of the delivered mashup. The Client is authorized to use the delivered mashup for personal, non-commercial purposes, including posting it on social media (YouTube, TikTok, Instagram, etc.). The Client may not make the mashup available on commercial streaming platforms (Spotify, Apple Music, Deezer, etc.).

8.3 — Client responsibility. The Client is solely responsible for how they use the delivered mashup, particularly regarding performance rights, public broadcast, or monetization, given that the source works remain protected by copyright. The Provider cannot be held liable for any copyright claim resulting from the Client's use of the mashup beyond the scope authorized above.

8.4 — Promotional use by the Provider. Upon delivery of the final version, the Client is asked to indicate whether they authorize the Provider to use the completed mashup for the purpose of promoting its business (website, social media, portfolio). Unless otherwise indicated by the Client at that time, the Provider reserves this right.

Article 9 — Liability

The Provider agrees to carry out the service with care and professionalism. The Provider's liability cannot be engaged in the event of incorrect information provided by the Client, temporary unavailability of the website, or any event of force majeure.

Article 10 — Use of the Website

Use of the website audiomatt.studio (forms, order area, messaging) is reserved for use consistent with its intended purpose. The Client agrees to provide accurate information and not to use the website for fraudulent purposes or in violation of the law.

Article 11 — Governing Law and Disputes

These Terms are governed by French law. In the event of a dispute, and failing an amicable resolution, jurisdiction is granted to the competent French courts.
